TERMS OF BUSINESS FOR PROMOTIONAL PERSONNEL

 1.     DEFINITIONS

In these Terms of Business the following definitions apply :

 “Client”                                 the person, firm or corporate body together with any subsidiary or associated company as defined by the Companies Act 1985 and Companies Act 2006 to whom the Promotional Personnel are introduced ;

 “Company”                         means Ashley Stewart Limited of 4 Margaret Street, London W1W 8RF

 “Engagement”                   means the engagement, employment or use of the promotional personnel by the Client on a permanent or temporary basis, whether under contract of service or for services under an agency, license, franchise or partnership agreement; or any other engagement. 

2.     PAYMENT

Payment agreements must be strictly adhered to. Prior to any event undertaken by Ashley Stewart’s Promotions Division, we require a 50% deposit prior to the start date of the event and the balance upon completion. The person responsible for signing the contract must ensure that they inform their accounts department of our payment terms. 

3.     INTEREST

The Company reserves the right to charge interest on invoiced amounts unpaid for more than 14 days at the rate of 2% per annum above the base rate from Lloyds TSB Bank plc from the due date of actual payment. 

4.     CANCELLATION FEE

A minimum of 48 hours notice (i.e. two full working days) is needed prior to the arranged date. A fee of 50% of the agreed full fee (plus V.A.T.) will be payable to Ashley Stewart Ltd should the cancellation notice be less than the agreed 48 hours notice (i.e. Monday to Friday) 

5.     FUTURE BOOKINGS

The Client and Ashley Stewart’s Promotional personnel agree that any future bookings arising from this engagement, either directly or indirectly, from the Client within 24 months must be negotiated by Ashley Stewart Ltd and a similar financial package will apply. 

6.     LIABILITY

The Company shall not be liable under any circumstances for any loss, expense, damage, delay, costs, compensation or non-fulfilment of contract (whether direct, indirect or consequential) which may be suffered or incurred by the Client arising from or in any way connected with the Company seeking the engagement of any promotional personnel by the Client. For the avoidance of doubt, the Company does not exclude liability for death or personal injury arising from its own negligence. 

7.     RECORDINGS

The Client is prohibited from making any electronic or other recording of the Artiste without prior written permission from Ashley Stewart Limited. 

8.     REVIEW

All temporary promotional personnel’s position shall be reviewed after he/she has been on assignment for 12 continuous weeks.

10    COMPLAINTS

Any complaint about these Terms of Business or our services should be in writing and addressed to Ashley Stewart Limited, 4 Margaret Street, London W1W 8RF. We will reply to you within 7 days with information about our complaints handling process. You are also welcome to contact us by telephone on 020 7580 9103. 

11    LAW

These Terms of Business are governed by the Law of England & Wales and are subject to the exclusive jurisdiction of the Courts of England & Wales. Any dispute should be settled by mediation in the first instance.
